Terms of Service

Last updated: September 15, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Royard Holdings LLC, a Wyoming limited liability company (“Channel Farm,” “we,” “us,” or “our”) governing your access to and use of channel.farm and our services (the “Service”). Please read them carefully.

Important: Section 14 contains a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. Section 11 limits our liability. By using the Service you agree to these provisions, except where prohibited by applicable law.

1. Acceptance & Eligibility

By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization. You must be at least 18 years old and able to form a binding contract. The Service is not directed to children.

2. The Service

Channel Farm is an AI-powered platform that generates video content (scripts, voiceovers, images, and rendered videos) from the topics and prompts you provide and, at your direction, can publish that content to a YouTube channel you connect. We may add, change, or remove features at any time. Some features depend on third-party providers (including AI model providers, rendering infrastructure, and YouTube), and their availability is outside our control.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly at hello@channel.farm of any unauthorized use. We may suspend or terminate accounts as described in Section 12.

4. YouTube & Third-Party Platforms

Channel Farm uses YouTube API Services. By connecting a channel and using publishing features, you also agree to be bound by the YouTube Terms of Service, and you acknowledge the Google Privacy Policy. You authorize Channel Farm to upload and manage videos on your connected channel at your direction. How we access and handle Google data is described in our Privacy Policy.

You are solely responsible for your YouTube channel and for complying with YouTube’s Terms, Community Guidelines, and monetization (YPP) policies. Channel Farm does not control YouTube and is not responsible for any action YouTube takes against your account or videos, including content removal, strikes, demonetization, or termination. You can disconnect your channel at any time.

5. AI-Generated Content & Your Responsibilities

The Service uses artificial intelligence to generate content. AI output may be inaccurate, incomplete, biased, or may unintentionally resemble existing works. Output is provided for your review and is not professional, legal, medical, or financial advice.

You are solely responsible for the content you generate and publish. In particular, you agree to:

  • review and edit AI output before publishing it;
  • disclose altered or synthetic (AI-generated) content where required — including using YouTube’s “altered content” disclosure in YouTube Studio and any labeling required by the U.S. Federal Trade Commission or other applicable law;
  • ensure your inputs and published content do not infringe any copyright, trademark, right of publicity, or privacy right, and that you have all necessary rights and consents (including for any name, likeness, or voice);
  • comply with all applicable laws and the rules of any platform where you publish.

You represent and warrant that you own or have all rights necessary to your inputs and that your use of the Service and any resulting content complies with these Terms, our Acceptable Use Policy (Section 7), and applicable law.

6. Ownership, Content & Licenses

Your content. As between you and Channel Farm, you retain ownership of the inputs you provide. As between you and Channel Farm, we assign to you all right, title, and interest we may have in the output the Service generates for you (“Output”), subject to your compliance with these Terms and payment of applicable fees. You may use Output for any lawful purpose, including commercial use and monetization on YouTube and other platforms.

No guarantee of intellectual-property protection. Output is generated by AI and may be similar to output provided to others. We make no representation that Output is original, non-infringing, or eligible for copyright or other intellectual-property protection. Under current U.S. law, material generated solely by AI without sufficient human authorship may not be copyrightable. You assume all risk regarding the protectability and use of Output.

License to us. You grant Channel Farm a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, process, and transmit your inputs and Output as necessary to operate, secure, and provide the Service — including routing content to the AI and rendering providers described in our Privacy Policy and publishing to YouTube at your direction. You also grant us the right to use your inputs, Output, and related usage and performance data to analyze, maintain, and improve the Service, except that data obtained from Google/YouTube APIs is handled solely as described in our Privacy Policy and is never used to train generalized AI models. If you send us feedback, you grant us an unrestricted license to use it.

Testimonials. If you send us praise, a review, or other comments about the Service (for example by email, a support message, or a survey), you allow us to quote them publicly, including on our website, in marketing emails, and in ads. We may show your words with your first name and last initial, your plan, the date you sent them, and a photo or other image you provide to us for that purpose. We may shorten your words, but we will not change their meaning, and we will not publish your full name, your email address, or anything you tell us about your earnings. We do not use data or images obtained through Google or YouTube, including your Google profile picture, for testimonials. You can ask us to stop using your testimonial at any time by emailing hello@channel.farm; we will remove it from our website within 14 days, but we cannot recall copies that were already sent or shared.

Our IP. The Service, including its software, models, designs, and trademarks, is owned by Channel Farm and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You may not copy, modify, reverse engineer, scrape, resell, or use the Service to build a competing product.

7. Acceptable Use

You agree not to use the Service to create, store, or publish content, or to act, in any way that:

  • is illegal, or that depicts or facilitates the sexual exploitation or abuse of minors;
  • infringes intellectual-property, privacy, or publicity rights;
  • is defamatory, harassing, hateful, or threatening;
  • impersonates a real person or creates deceptive deepfakes, fraudulent endorsements, or false claims, or that is designed to deceive or defraud;
  • contains malware or attempts to compromise, overload, or gain unauthorized access to the Service;
  • circumvents usage limits, quotas, or access controls, or scrapes the Service; or
  • violates YouTube’s terms or the terms of any other platform or third-party service.

This list is not exhaustive. We may investigate and take action, including removing content and suspending accounts, for violations.

8. Subscriptions, Billing & Refunds

Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. Your subscription automatically renews at the then-current price for the same interval until you cancel. By subscribing, you authorize us and Stripe to charge your payment method for each renewal until you cancel.

  • Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then, and we do not provide refunds or credits for partial periods, except where required by law. Refund requests are otherwise considered case by case at our discretion — contact us at hello@channel.farm.
  • Price changes. We may change prices; we will give advance notice, and changes apply to the next billing period.
  • Taxes. Prices are exclusive of taxes unless stated; applicable taxes are added at checkout based on your billing location.
  • Failed payments. If a charge fails, we may suspend access until payment is resolved.

EU/UK consumers — right of withdrawal. If you are a consumer in the EEA or UK, you normally have a 14-day right to withdraw from a distance contract. Because the Service provides digital content and services immediately, by subscribing and requesting immediate access you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once the service has been fully performed. Your statutory consumer rights are not affected.

9. Availability & Changes

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service, and we may set or change usage limits, at any time. We are not liable for any modification, suspension, or discontinuation of the Service.

10. Disclaimer of Warranties

The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Channel Farm disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or Output will be accurate, reliable, uninterrupted, secure, or free of harmful components, or that Output will be original, non-infringing, or fit for any particular use. We are not responsible for the acts or omissions of YouTube or any other third-party platform.

11. Limitation of Liability

To the maximum extent permitted by law, Channel Farm and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, or for any loss of or damage to your YouTube or other accounts (including demonetization, strikes, suspension, or termination), arising out of or related to the Service, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law (such as for fraud, gross negligence, or death or personal injury caused by negligence).

12. Indemnification & Termination

Indemnification. You will defend, indemnify, and hold harmless Channel Farm from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your inputs or published content; your use of the Service; your violation of these Terms, our Acceptable Use Policy, applicable law, or any third-party (including YouTube) terms; or your infringement of any third party’s rights. This obligation survives termination.

Termination. You may stop using the Service and cancel at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create legal or security risk, or for repeat infringement of intellectual-property rights. On termination, your right to use the Service ends; you are responsible for exporting any content you wish to keep. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

13. Copyright / DMCA

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and terminate repeat infringers. If you believe content available through the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to our Designated Agent:

DMCA Agent, Royard Holdings LLC, 30 N Gould St, Ste R, Sheridan, WY 82801, legal@channel.farm

Submitting a materially false notice may result in liability. If your content was removed in error, you may submit a counter-notice as permitted by the DMCA.

14. Dispute Resolution; Arbitration & Class-Action Waiver

Informal resolution first. Before filing a claim, you agree to contact us at legal@channel.farm and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, on an individual basis. The U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision.

Class-action waiver. You and Channel Farm agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and Channel Farm waive any right to a jury trial.

Exceptions. Either party may bring claims in small-claims court and may seek injunctive relief for intellectual-property misuse in court. You may opt out of this arbitration agreement by emailing legal@channel.farm within 30 days of first accepting these Terms. This Section does not apply to the extent prohibited by applicable law, and does not waive any non-waivable right (including, where applicable, claims of sexual harassment or sexual assault). If you are a consumer in the EEA or UK, mandatory local law — not this arbitration clause — governs your dispute-resolution rights, and you may bring proceedings in your local courts.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules and the U.N. Convention on Contracts for the International Sale of Goods. Subject to Section 14, the exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Wyoming. If you are a consumer, you may also have the benefit of mandatory provisions of the law of your country of residence.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here and revise the “Last updated” date, and for material changes we will provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

17. General

These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and Channel Farm regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
